Please read these Terms carefully. They contain a binding arbitration provision and a class action waiver (Section 13) that affect how disputes between you and Identiqa Inc. are resolved. You can opt out of arbitration within 30 days, as described there.
1. Who we are and what we offer
KidsProxy is a parental-control service provided in the United States by Identiqa Inc., a Delaware corporation ("Identiqa," "we," "us"). It has two parts: open-source software you may use free of charge (the "Community Edition"), and a paid service called KidsProxy Premium ("Premium").
The software filters internet traffic inside your home network. It runs on the KidsProxy Box (the "Box") or on hardware you already own. Premium adds features that require a connection to our servers.
These Terms are an agreement between you and Identiqa Inc. By creating an account, placing an order or using the service, you accept them. Our Privacy Policy, Returns & Refunds policy and Limited Warranty are part of this agreement.
2. Who may use KidsProxy
You must be at least 18 years old and a parent or legal guardian of, or otherwise legally responsible for, the children whose devices you manage. Children may use devices protected by KidsProxy, but only an adult may hold the account.
Your login credentials are personal. Keep them secure and do not share them. You are responsible for all activity under your account.
3. Orders and when a contract is formed
Your order is an offer to buy. We accept it when we send an order confirmation by email or ship the product, whichever comes first. We may decline or cancel an order, for example when a product is unavailable or a price was displayed in error; if we do, we refund any payment in full.
For a Premium subscription without hardware, the subscription term starts when your access is activated. If you order a Box, it starts on the day you first set the device up.
4. Prices, taxes and payment
Prices are shown in US dollars. Applicable sales tax is calculated and added at checkout based on your shipping or billing address. Shipping charges are shown separately before you place the order.
When you pay by card, we first obtain an authorization for $0.00. Your card is charged when the product leaves our warehouse. Subscription fees are charged at the beginning of each billing period.
The discounted Box price in a bundle requires a minimum Premium term of twelve months. If you cancel earlier, we charge the difference between the bundle price and the standalone Box price.
5. Subscriptions, automatic renewal and cancellation
Premium renews automatically until you cancel. A monthly subscription renews each month; an annual subscription and the bundle plan renew for the same term at the end of the current term. We charge the payment method on file at the then-current price. We will email you a reminder before an annual term renews, and we will notify you of any price change at least 30 days in advance.
You can cancel at any time, without giving a reason, in the customer portal, by email to help@kidsproxy.com or via the contact form. Cancellation takes effect at the end of the current billing period; you keep Premium until then. We do not refund partial periods, except as described in our Returns & Refunds policy.
After your subscription ends, the Box remains yours. It keeps filtering your home network with the Community Edition, without the Premium features.
6. Household license and acceptable use
One Premium subscription covers one household with up to 25 managed people and any number of Boxes. Commercial use, or sharing the subscription with other households, is not covered; we offer separate agreements for that.
You agree to use KidsProxy only:
- on networks you own or are authorized to control;
- to manage devices used by members of your household for whom you have legal authority, and to inform other adults in your household that filtering is in place;
- in compliance with applicable law, including laws on electronic communications and privacy.
You may not use KidsProxy to monitor people without lawful authority, to interfere with networks or services you do not control, or to attack, probe or overload our infrastructure. We may suspend or terminate accounts that violate this section.
7. Software and open source
The core KidsProxy software is open source. Your use of that source code is governed by the license that accompanies it, not by these Terms, and you are welcome to run your own software on the Box. The Premium services, our apps, the KidsProxy name and logos remain our property or that of our affiliates; we grant you a limited, non-exclusive, non-transferable license to use them for your household while your subscription is active.
8. Availability and the limits of any filter
We work to keep the service available, but cannot guarantee uninterrupted operation. Where possible we announce maintenance in advance.
No filter catches every unsuitable piece of content. KidsProxy substantially reduces the risk, but it does not replace attention and conversation within your family. We say this plainly because it is true, and because you should not rely on any filter as your only safeguard.
9. Privacy
What happens in your home stays there. The Box works on its own; when it reaches our servers for individual lookups, it does so without identifying you. Details are in our Privacy Policy, which is part of this agreement.
10. Disclaimer of warranties
Except for the express Limited Warranty on the KidsProxy Box, the service, software and apps are provided "as is" and "as available." To the fullest extent permitted by law, Identiqa disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Identiqa does not warrant that the service will be uninterrupted or error-free, or that it will block all inappropriate content.
Some states do not allow the exclusion of implied warranties, so some of the above may not apply to you.
11. Limitation of liability
To the fullest extent permitted by law, Identiqa and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or goodwill, arising out of or related to the service or these Terms, even if advised of the possibility of such damages. Identiqa's total liability for all claims arising out of or related to the service will not exceed the greater of the amount you paid us in the twelve months before the claim arose or $100.
Some states do not allow the limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You agree to defend and hold harmless Identiqa and its affiliates from claims and costs, including reasonable attorneys' fees, arising from your use of the service in violation of these Terms or applicable law.
13. Dispute resolution: arbitration and class action waiver
Talk to us first. Before starting a formal proceeding, email legal@kidsproxy.com with a description of the dispute. We will try to resolve it informally within 60 days.
Binding arbitration. If we cannot resolve it, you and Identiqa agree that any dispute arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. Arbitration may take place by video, phone or written submissions, or in the county where you live. Identiqa pays all AAA filing and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous.
Class action waiver. You and Identiqa agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property.
Opt-out. You may opt out of this arbitration agreement by emailing legal@kidsproxy.com within 30 days of first accepting these Terms, stating your name, the email address on your account and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
14. Changes to these Terms
We may update these Terms. If a change materially affects your rights, we will email you at least 30 days before it takes effect. If you do not agree, you may cancel before the effective date; continuing to use the service after that date means you accept the updated Terms.
15. General
These Terms are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law rules. If any provision is found unenforceable, the rest remains in effect. These Terms, together with the documents referenced in Section 1, are the entire agreement between you and Identiqa regarding the service. You may not assign this agreement; we may assign it to an affiliate or successor. You agree to receive notices from us electronically.
